1. Purpose and Scope

This Privacy Policy and Data Processing Terms (“Policy”) sets out the obligations and responsibilities of Invasystem Inc. (“Service Provider”) and Mega Lifesciences (“Employer”) in relation to built the MegaWeCare application as a Free application. This Service is provided at no cost and is intended for use as is.

This page is used to inform users regarding our Policies with the collection, use, and disclosure of Personal Information if users or anyone decided to use our Service.

2. Information Collection and Use

While using our Service, we may require you to provide us with certain personally identiable information, including but not limited to access to media, access to files, access to photo, contact information, device information.

The information that we request will be retained on your device and is not collected by us in anyway. The application does use third party services that may collect information used to identify you. The information that we request will be retained by us and used as described in this privacy policy.

3. Roles of the Parties

3.1 The Employer acts as the data controller, having authority to determine the purposes and means of the processing of Personal Data.

3.2 The Service Provider acts solely as a service provider/data processor, processing Personal Data only on documented instructions from the Employer and for no other purpose.

4. Nature and Purpose of Processing

The Service Provider shall process Personal Data exclusively for the purpose of:

  • Developing, operating, maintaining, and supporting the Application; and
  • Enabling the Employer or the platform owner, as authorized by the Employer, to conduct verification or validation activities through the Application.

The Service Provider shall not process Personal Data for its own purposes or for any purpose not expressly instructed by the Employer.

5. Log Data

We want to inform you that whenever you use our Service, in a case of an error in the app we collect data and information (through third party products) on your phone called Log Data. This Log Data may include information such as your device Internet Protocol ("IP") address, device name, operating system version, the configuration of the app when utilizing our Service, the time and date of your use of the Service, and other statistics

6. Cookies

Cookies are files with a small amount of data that are commonly used as anonymous unique identifiers. These are sent to your browser from the websites that you visit and are stored on your device's internal memory.

This Service does not use these "cookies" explicitly. However, the app may use third party code and libraries that use "cookies" to collect information and improve their services. You have the option to either accept or refuse these cookies and know when a cookie is being s to your device. If you choose to refuse our cookies, you may not be able to use some portic of this Service.

7. Service Providers

We may employ third-party companies and individuals due to the following reasons:

  • To facilitate our Service;
  • To provide the Service on our behalf;
  • To perform Service-related services; or
  • To assist us in analyzing how our Service is used.

We want to inform users of this Service that these third parties have access to your Personal Information. The reason is to perform the tasks assigned to them on our behalf. However, they are obligated not to disclose or use the information for any other purpose.

8. Instructions from the Employer

8.1 The Service Provider shall process Personal Data strictly in accordance with the Employer’s written or electronic instructions.

8.2 If the Service Provider believes that an instruction violates applicable data protection laws, it shall promptly inform the Employer before carrying out such instruction.

9. Sub-processing

9.1 The Service Provider shall not appoint any sub-processor without the prior written consent of the Employer.

9.2 Where a sub-processor is approved, the Service Provider shall ensure that the sub-processor is bound by data protection obligations no less protective than those set out in this Policy.

9.3 Prior to granting any Authorized Third Party access to Personal Data, the Service Provider shall ensure that such Authorized Third Party is bound by written obligations that

  • require the Authorized Third Party to maintain the confidentiality and security of the Personal Data;
  • prohibit the disclosure of Personal Data to any other person or entity;
  • prohibit the use of Personal Data for any purpose other than performing services for and on behalf of the Employer; and
  • impose data protection and security obligations no less stringent than those set out in this Policy.

9.4 Authorized Third Parties shall act solely on the instructions of the Service Provider, which instructions shall be consistent with and no broader than the instructions provided by the Employer to the Service Provider.

9.5 The Service Provider shall remain fully responsible and liable for any act or omission of any Authorized Third Party in relation to the processing of Personal Data, as if such acts or omissions were performed by the Service Provider itself.

9.6 The Service Provider shall not permit any Authorized Third Party to retain, disclose, exploit, or otherwise use Personal Data for its own benefit or for any independent commercial, analytical, or marketing purpose

10. Data Transfers

The Service Provider shall not transfer Personal Data outside the jurisdiction approved by the Employer unless:

  • Such transfer is expressly instructed or approved by the Employer; and
  • Appropriate safeguards required under applicable data protection laws are in place.

11. Data Security Measures

We value your trust in providing us your Personal Information, thus we are striving to use commercially acceptable means of protecting it.

11.1 The Service Provider shall implement appropriate technical and organizational measures to protect Personal Data against unauthorized or unlawful processing, accidental loss, destruction, or damage.

11.2 Such measures shall be commensurate with the nature of the Personal Data and the risks involved.

11.3 While we implement industry-standard security measures to protect your data during transmission and storage, please be aware that no digital security system can be guaranteed to be completely impervious to all threats. We continuously update our security practices to maintain the highest level of protection possible.

This Service may contain links to other sites. If you click on a third-party link, you will be directed to that site. Note that these external sites are not operated by us. Therefore, we strongly advise you to review the Privacy Policy of these websites. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

13. Children's Privacy

These Services do not address anyone under the age of 13. We do not knowingly collect personally identifiable information from children under 13. In the case we discover that a chi under 13 has provided us with personal information, we immediately delete this from our servers. If you are a parent or guardian and you are aware that your child has provided us personal information, please contact us so that we will be able to do necessary actions.

14. Confidentiality

The Service Provider shall ensure that all personnel authorized to process Personal Data:

  • Are bound by confidentiality obligations; and
  • Access Personal Data only to the extent necessary to perform their duties in connection with the Application.

15. Indemnity

15.1 Indemnity by Service Provider

The Service Provider shall indemnify, defend, and hold harmless the Employer, its directors, officers, employees, and agents from and against any and all losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • any breach of this Policy by the Service Provider or any Authorized Third Party;
  • any unauthorized access, disclosure, use, or processing of Personal Data by the Service Provider or any Authorized Third Party;
  • any failure by the Service Provider or any Authorized Third Party to comply with applicable data protection or privacy laws; or
  • any act or omission of an Authorized Third Party relating to the processing of Personal Data, including misuse or disclosure for any purpose not expressly permitted under this Policy.

15.2 Third-Party Acts Deemed Service Provider Acts

For the purposes of this indemnity, any act or omission of an Authorized Third Party shall be deemed an act or omission of the Service Provider.

15.3 Scope of Losses Covered

Losses covered by this indemnity shall include, without limitation:

  • regulatory investigations, enforcement actions, and administrative fines;
  • claims or actions brought by data subjects or third parties;
  • costs of notification, remediation, forensic investigation, and credit monitoring (where applicable); and
  • reputational damage to the extent recoverable under applicable law.

15.4 Indemnity Procedure

The Employer shall promptly notify the Service Provider of any claim subject to indemnification, provided that failure to give prompt notice shall not relieve the Service Provider of its indemnity obligations except to the extent it is materially prejudiced. The Service Provider shall have the right to control the defense and settlement of such claim, subject to the Employer’s right to participate and provided that no settlement shall impose any admission of liability or non-monetary obligation on the Employer without the Employer’s prior written consent.

This indemnity shall survive the termination or expiration of this Policy and the services provided hereunder.

16. Changes to This Privacy Policy

We may update our Privacy Policy from time to time. Thus, you are advised to review this periodically for any changes. We will notify you of any changes by posting the new Privacy Policy on this page. These changes are effective immediately after they are posted on this page.
